These Terms of Service (the "Terms") are entered into between Tavan Insights AB, reg. no. 559547-1862, c/o JRS Asset Management AB, Box 586, 114 11 Stockholm, Sweden ("Clair"), and the business that orders Clair (the "Customer"). Clair and the Customer are each a "Party" and together the "Parties".

1. Who these Terms are for

1.1 These Terms apply to businesses that use Clair. Clair is only for businesses: a Customer orders Clair for its business, never as a consumer.

1.2 The Terms apply when the Customer agrees with Clair to use the Service, for example by accepting an offer or signing an agreement that refers to them. The person who accepts them for the Customer confirms that they have the authority to do so.

1.3 If the Customer and Clair have signed a separate agreement for the Service, that agreement applies, and these Terms apply only as far as it refers to them.

1.4 Section 24 applies to everyone who visits beclair.io. People whom Clair contacts on behalf of a Customer are not parties to these Terms. Section 25 and the Participant Privacy Notice at call.beclair.io/participant-privacy explain what applies to them.

1.5 How Clair processes personal data for its own purposes is described in its Privacy Policy at beclair.io/privacy-policy.

2. Definitions

2.1 "Service" means Clair, the service in which an AI assistant holds Conversations with the Customer's business customers in the Customer's name, helps them, connects them with the Customer's team and reports the results.

2.2 "Program" means what the Customer approves for its Conversations: what starts them, who is contacted and how, and what the AI assistant says and may do.

2.3 "End Customer" means a business customer of the Customer, such as a limited company or a sole trader, and never a consumer. "Contact" means a person at an End Customer whom the Service invites to a Conversation or holds a Conversation with. "Conversation" means an exchange between the AI assistant and a person by voice or text.

2.4 "Actions" means what the AI assistant does for a Contact in or after a Conversation under a Program, such as finishing a setup, changing something in the End Customer's account, making an offer the Customer has set, booking a time with the Customer's team, or creating a task or ticket. "Hand-over" means passing a matter from the AI assistant to the Customer's team in the way the Program sets out, such as a task in the Customer's CRM, a ticket, a message in team chat or a booked call.

2.5 "Connected Systems" means the Customer's own systems, or systems operated for it, that the Service reads from or writes to, such as its CRM, customer success platform, support tool, product data, billing system and team chat.

2.6 "Customer Content" means the help articles, product information, prices, offers, texts, names, trademarks, tone of voice and other material that the Customer provides or approves for the Service.

2.7 "Customer Data" means all data that the Customer, its Users or Contacts provide to or create in the Service, including data from Connected Systems, files the Customer uploads, Conversation recordings and transcripts, and Outputs. "Outputs" means the summaries, quotes, outcomes, follow-ups, reports and other material the Service generates for the Customer. Customer Data does not include Clair Materials or Usage Metrics.

2.8 "Users" means the Customer's employees and consultants who are given access to the Service.

2.9 "DPA" means Clair's Data Processing Agreement with the Customer. The "Agreement" means these Terms, the DPA and what the Parties have agreed in writing for the Customer, such as price, Programs and term. "Sub-processor" has the meaning given in the DPA.

2.10 "Clair Materials" means the Service and everything Clair uses to provide it, including software, AI models, prompts and instructions, Program templates, evaluation methods and improvements to them, but not Customer Content, Customer Data or the Customer's Programs.

2.11 "Usage Metrics" means technical and statistical data about how the Service operates, such as response times, Conversation length, error rates and counts, that contains no Conversation content and no personal data, and does not identify the Customer, an End Customer or a Contact.

2.12 "contract year" means each 12-month period from the start of the subscription. "business day" means a day other than a Saturday, a Sunday, a Swedish public holiday, Midsummer Eve, Christmas Eve or New Year's Eve.

3. Agreement documents

3.1 If they conflict, the DPA prevails on the processing of personal data. Otherwise, what the Parties have agreed in writing for the Customer prevails over these Terms.

3.2 The DPA forms part of the Agreement. Clair provides it when the Customer agrees to use the Service, and the Parties may also sign it as a separate document. The Service processes no personal data for the Customer before the DPA applies.

3.3 Terms in the Customer's purchase orders or other documents do not apply, even if Clair accepts the order.

3.4 Approvals of Programs, instructions and notices under these Terms may be given by email or in the Service. They are not amendments of the Agreement.

4. The Service

4.1 Clair provides the Service as agreed with the Customer and as described in these Terms, with reasonable skill and care. Clair sets up the first Programs together with the Customer and trains the Customer's Users.

4.2 The Service reaches Contacts by phone, email, SMS and the other channels the Customer approves for a Program. Contacts talk with the AI assistant by voice or text, in a browser through a personal link or by phone, in their own language where the Program offers it, and can also reach it on their own initiative through the link or number they were given.

4.3 Clair develops the Service continuously. During a paid term, Clair does not make changes that materially reduce the functionality, security or data protection of the Service for the Customer.

4.4 Clair may offer features marked as beta or preview. They are optional, may change or end, and are not covered by clause 4.5. They follow the DPA like the rest of the Service.

4.5 Clair aims for 99.5 percent availability per calendar month for the Service's app, Conversation links and data exchange, excluding planned maintenance. Conversations also depend on the voice and telephony providers listed in the DPA. Clair announces planned maintenance at least 48 hours in advance, and where possible outside the times when Programs contact people. The Parties may agree other service levels.

4.6 Support is available on business days, 09:00 to 17:00 Swedish time, by email to business@navainsights.io and through the Customer's contact person at Clair.

4.7 Clair gives the Customer at least 60 days' written notice before it discontinues the Service or a material part of it, and refunds prepaid fees for the period after the discontinuation.

5. Programs

5.1 Each Program is set up with the Customer before it goes live. The Customer decides what starts the Program, which End Customers and Contacts it reaches, through which channels and how often, what the AI assistant may say and do, which offers it may make, and how it hands over. Clair advises on these choices, and tells the Customer if it believes a choice will not work or creates a risk for Contacts.

5.2 The Customer decides how far the AI assistant goes in each Program: only listening and noting what it hears, also answering from Customer Content, or also solving things on its own by carrying out Actions.

5.3 Before a Program goes live, Clair tests it, including how the AI assistant handles a request for a person, a request not to be contacted, a question outside Customer Content and an attempt to make it break its instructions, and shares sample Conversations with the Customer. A Program goes live only after the Customer has approved it, in writing or in the Service. A change to what the AI assistant may say or do in a live Program needs a new approval.

5.4 Clair may make technical changes to a live Program, such as fixes, performance improvements and a change of AI model, if they do not change what the AI assistant may say or do. Clair tests a new AI model on the Program before it is used live. A change of the provider of an AI model is a change of Sub-processor under DPA clause 6.2.

5.5 The Customer may pause a Program, or all Programs, at any time, in the Service or by email to Clair. No new invitations or Conversations then start under it. A pause does not reduce the fees unless it is caused by Clair's breach.

5.6 Clair monitors Conversations for errors and for anything the AI assistant says or does outside the Program. If the AI assistant has made a statement, offer or Action outside the Program that could harm a Contact, an End Customer or the Customer, Clair tells the Customer without undue delay, and no later than the next business day, pauses the Program until the cause is fixed if it can happen again, and tells the Customer which Contacts were affected.

5.7 Clair is responsible for the Service being designed, configured, tested and monitored so that the AI assistant behaves as set out in section 6 and stays within the Program. The Customer is responsible for Customer Content and for its choices in the Program.

6. How the AI assistant behaves

6.1 In every Conversation, the AI assistant:

(a) says at the start that it is an AI acting on behalf of the Customer and, in a voice Conversation, that the Conversation is recorded;

(b) answers questions only from Customer Content, and otherwise says that it does not know and offers a Hand-over;

(c) makes only the offers the Program allows, and carries out an Action that changes something for the End Customer only if the Program allows it and the Contact has clearly said yes in the Conversation;

(d) confirms an accepted offer, such as an upgrade, to the Contact in the Conversation and in writing;

(e) offers a Hand-over when the Contact asks for a person, and ends the Conversation when the Contact wants to; and

(f) records a request not to be contacted again, after which the Service does not contact that person for the Customer again.

6.2 The AI assistant never:

(a) says or suggests that it is a person;

(b) asks for personal details, passwords or payment details;

(c) asks for special categories of personal data, such as information about health, or for data about criminal offenses;

(d) makes a promise, discount, date or commitment that the Customer has not approved;

(e) pressures a Contact to buy, or keeps offering something the Contact has declined;

(f) gives financial, legal or tax advice; or

(g) uses a Contact's voice to identify them or to recognize their emotions.

6.3 The AI assistant uses a voice that Clair has the rights to use. The Service does not use a voice that imitates a real person without that person's written consent.

6.4 Clair is the provider and the Customer is the deployer of the Service under the EU AI Act (Regulation (EU) 2024/1689, as amended). Each Party complies with its obligations under that Act, and Clair with the transparency obligations of a provider under Article 50. Neither Party uses the Service for a purpose listed as high-risk in Annex III of that Act. Clair helps the Customer's Users understand how the Service works and what it can get wrong.

6.5 No Program, and nothing else agreed with the Customer, can change sections 6.1 and 6.2.

7. Contacts, channels and consent

7.1 As controller, the Customer decides which End Customers and Contacts the Service reaches, for what purpose and through which channels. The Customer is the sender of every invitation and Conversation, and the marketer under the Swedish Marketing Act (marknadsföringslagen (2008:486)).

7.2 The Customer is responsible for having a legal basis for using Customer Data in the Service and for contacting each Contact through the channels in the Program, under the GDPR, the Marketing Act and other law that applies. Where a Program markets the Customer's products, for example by offering an upgrade, the Customer makes sure that it may contact each Contact that way, including any prior consent the law requires before an automated call, an email or an SMS to a sole trader or another natural person (section 19 of the Marketing Act).

7.3 The Customer informs Contacts about the processing in its own privacy notice, as Articles 13 and 14 of the GDPR require. Every invitation links to Clair's Participant Privacy Notice, which tells Contacts that the Customer is the controller.

7.4 The Service contacts Contacts only through the channels in the Program, at the times the Program sets and as often as its contact rules allow. Unless the Program says otherwise, the Service starts calls and sends invitations only between 09:00 and 17:00 in the Contact's country, on weekdays that are not public holidays there.

7.5 Every email and SMS names the Customer as sender, says that the Conversation will be with an AI assistant, and contains a free and simple way to opt out. If no one answers a call, the AI assistant may leave a short message saying that it is an AI, which company it is calling for, and how to reach it. Messages never mention account details.

7.6 The Customer gives Clair only End Customers and Contacts that the Service may contact, leaves out those who must not be contacted, and keeps Clair updated, through the Connected Systems or by file. The Service checks its record of requests not to be contacted before every invitation and call, and makes new requests available to the Customer (DPA clause 8.3).

7.7 The Service uses only the sender names, phone numbers and email domains approved for the Program. Where it uses the Customer's name or domain, Clair follows the Customer's reasonable technical requirements, such as for email authentication. Phone numbers that Clair provides stay with Clair when the Agreement ends.

7.8 Clair may refuse an instruction that it reasonably believes would breach the law or this section, and tells the Customer without delay.

8. Actions, offers and Hand-overs

8.1 When the AI assistant carries out an Action or makes an offer under a Program, it acts in the Customer's name. Any agreement that results, such as an upgrade, is between the Customer and its End Customer, and Clair is not a party to it. The Customer is responsible for the offers and terms it sets in a Program and for delivering what the End Customer accepts.

8.2 If the AI assistant makes a statement, offer or Action outside the Program, Clair helps the Customer correct it with the End Customer, in addition to what clause 5.6 says.

8.3 The AI assistant hands over to the Customer's team in the way the Program sets out, with a short summary of what the Contact needs and what was said and done. The Customer staffs its Hand-over route and handles Hand-overs under its own routines. If a Hand-over cannot be delivered to a Connected System, the Service makes it available in the app and notifies the Customer.

8.4 The Customer handles complaints from End Customers and Contacts as part of its customer relationship. Clair forwards to the Customer, within two business days, any complaint, question or request it receives from a Contact, and helps the Customer answer it. Requests about personal data follow the DPA.

9. Customer Content and Connected Systems

9.1 The Customer is responsible for Customer Content being accurate, current and lawful, and for having the rights to let Clair use it. The Customer updates prices, offers and product terms in the Service, or tells Clair about changes, before they take effect. Clair does not change the meaning of Customer Content.

9.2 The Customer gives Clair a non-exclusive, non-transferable right during the term to use Customer Content, including the Customer's names and trademarks, only to provide the Service to the Customer.

9.3 The Customer decides which Connected Systems the Service may read from and write to, and with which rights. Clair uses the credentials the Customer gives it only to provide the Service, keeps them encrypted, and accesses Connected Systems only through their interfaces, never by logging in as a User. The Customer may revoke the access at any time.

9.4 The Service writes to Connected Systems only what the Program sets out, such as outcomes, notes, tasks and tickets, and marks it as written by Clair. It does not write recordings or transcripts there.

9.5 Connected Systems are not Sub-processors (DPA clause 2.3), and the Customer's agreements with their providers govern them. Clair is not responsible for failures of the Service caused by a Connected System or by changes to it.

9.6 Clair tells the Customer without undue delay, and in any event within 24 hours, if it suspects that credentials for a Connected System have been exposed or misused.

10. Data protection and security

10.1 The Customer is controller and Clair is processor of the personal data that Clair processes for the Customer in the Service. The DPA sets out how Clair processes it, including security, Sub-processors, transfers, requests from data subjects and personal data breaches.

10.2 Customer Data is stored in Sweden, on Microsoft Azure. Sign-in data and technical logs are stored in the EU. Some AI processing and the connection of phone calls take place outside the EU and EEA, as set out in DPA Annex 3, under the EU-US Data Privacy Framework or the European Commission's standard contractual clauses. The AI Sub-processors keep copies for at most 30 days, unless the law requires longer storage. Clair keeps a transfer impact assessment for the transfer of Conversation content that relies on standard contractual clauses, and gives it to the Customer on request (DPA clause 7.3).

10.3 Clair notifies the Customer at least 30 days before it adds or replaces a Sub-processor, or changes where Customer Data is processed or stored. The Customer may object and, if the Parties cannot agree on a solution, terminate the Agreement as set out in DPA clause 6.2.

10.4 Each Conversation stays connected to the Contact's name, email address and phone number in the Service, so that the Customer can see who it was with. Names and other direct identifiers are removed from the transcript text automatically before it is stored and analyzed, and what is sent for AI analysis is linked only to a random conversation ID. Automated removal can miss an identifier, so Clair treats this text as personal data.

10.5 Clair keeps Customer Data no longer than the retention schedule in DPA Annex 1. By default, recordings and transcripts are deleted 90 days after the Conversation, and summaries, quotes and outcomes 12 months after the last Conversation with the Contact. The Parties may agree other periods in the DPA. Clair does not delete Customer Data during the term because of inactivity.

10.6 Customer Data is never used to train AI models, by Clair or by its Sub-processors. Clair uses Customer Data only to provide and support the Service for the Customer, and does not use it in demos, marketing or research, or to develop the Service for others, unless the Customer has approved the specific use in writing.

10.7 Clair may use Usage Metrics to operate, secure and improve the Service. With the consent of a User or Contact, Clair also uses usage analytics as controller, as described in its Privacy Policy, its Participant Privacy Notice and DPA clause 2.2. These contain no Conversation content, and the Customer has no access to them.

10.8 The Customer does not give the Service personal identity numbers, payment card numbers, passwords, one-time codes or special categories of personal data. When Users draft a Program or write Customer Content, they describe the Customer's business and its customers in general, because that text is processed by AI providers as written. The Customer tells Clair before a Program goes live if its business or End Customers concern public authorities, defense, critical infrastructure or political activity, or if a Program would process personal data not described in DPA Annex 1.

10.9 Clair maintains the security measures in DPA Annex 2, including hosting in Sweden, encryption in transit and at rest, a web application firewall, databases without public network access, role-based access control and logging and monitoring. Clair notifies the Customer of a personal data breach without undue delay, and in any event within 24 hours of becoming aware of it (DPA clause 9.1), and answers the Customer's reasonable security questionnaires.

11. Users and acceptable use

11.1 The Customer is responsible for its Users and their use of the Service, keeps each User's access personal, and removes access for people who no longer need it.

11.2 The Customer uses the Service only to help its own business customers start using, keep using and get more value from what they have from the Customer. The Customer does not use the Service:

(a) to contact consumers, people under 18, or people who are not at a business customer of the Customer;

(b) to collect debts or chase payments;

(c) to assess creditworthiness, for decisions about employment, for any other purpose listed as high-risk in Annex III of the EU AI Act, or to make decisions with legal or similarly significant effects on people by automated means alone;

(d) to collect special categories of personal data or data about criminal offenses;

(e) for political or religious messages, or to contact people on behalf of anyone other than the Customer;

(f) to mislead people about who is contacting them or why, or to make the AI assistant appear to be a person; or

(g) in breach of applicable law, including marketing, consumer, telecommunications and data protection law.

11.3 The Customer does not try to make the AI assistant act outside a Program, except in tests agreed with Clair, and does not copy, reverse engineer or resell the Service or use it to build a competing service. The Customer may test the security of the Service on a scope and at a time agreed in writing with Clair, which Clair does not unreasonably refuse.

12. Fees and payment

12.1 The Customer pays the fees agreed with Clair. Fees exclude VAT.

12.2 Unless agreed otherwise, Clair invoices the annual fee in advance at the start of each contract year, and use beyond what is included quarterly in arrears. Invoices are payable within 30 days of the invoice date. Card payments are handled by Stripe.

12.3 Unless agreed otherwise, a Conversation is counted when the Contact has taken part for at least 60 seconds, or when an Action or Hand-over has been completed. Unanswered invitations, failed calls and Conversations cut short by a fault in the Service are not counted. Clair holds Conversations beyond the volume included only with the Customer's approval.

12.4 The fees include the costs of phone calls and SMS, unless agreed otherwise.

12.5 Late payments carry interest under the Swedish Interest Act (räntelagen (1975:635)).

12.6 Clair may change the fees for a renewal term by written notice at least 60 days before that term starts.

13. Term, pilots and suspension

13.1 The Agreement starts when the Customer agrees to use the Service under clause 1.2, and runs for the term agreed with Clair.

13.2 A pilot is a time-limited use of the Service with the Programs, volumes and goals agreed for it. A pilot ends on its end date, and continues as a subscription only if the Customer orders one. During a pilot, either Party may end the Agreement for any reason with 10 business days' written notice. If Clair does so, it refunds any pilot fee paid.

13.3 Unless agreed otherwise, a subscription runs for 12 months and then renews for 12 months at a time, unless either Party gives written notice at least 30 days before the end of the current term.

13.4 Clair may suspend the Customer's access to the Service, in whole or in part, if an undisputed invoice is more than 15 days overdue after Clair's written reminder, if the Customer's use breaches section 11 or the law, or if suspension is needed to deal with a material security risk. Except where immediate action is needed for security or legal reasons, Clair gives the Customer notice and an opportunity to remedy the issue first. Clair limits a suspension to what is needed and restores access promptly once the reason is resolved.

14. Termination

14.1 Either Party may terminate the Agreement with immediate effect by written notice if the other Party materially breaches it and does not cure the breach within 30 days of written notice, or if the other Party becomes insolvent.

14.2 The Customer may also terminate the Agreement, or the affected Program, with immediate effect by written notice if Clair significantly breaches applicable law in providing the Service or a competent authority requires the Customer to stop using it, and as set out in DPA clause 6.2.

14.3 If the Customer terminates under clause 14.1 or 14.2, Clair refunds the prepaid fees for the period after termination.

14.4 Sections 15 to 20, 22 and 23, and the DPA for as long as Clair processes personal data for the Customer, survive termination as far as needed.

15. When the Agreement ends

15.1 When the Agreement or a Program ends, the Service stops all invitations and Conversations under it, and Clair gives the Customer a list of open Hand-overs, of anything the AI assistant has told a Contact will happen, and of the requests not to be contacted that the Service has recorded, so that the Customer can handle them.

15.2 During the term and for 30 days after it ends, the Customer can export its Customer Data in common formats, such as CSV and JSON, with recordings as audio files for as long as they are kept. Clair helps with the export on request at no additional cost.

15.3 Clair then deletes all Customer Data and Customer Content, including copies held by Sub-processors, within 30 days, unless EU or Swedish law requires storage and except as set out in DPA Annex 3, and confirms the deletion in writing on request. Backups are overwritten within 35 days of that deletion. The same applies if Clair becomes insolvent or discontinues its business or the Service (DPA clause 11).

15.4 What the Service wrote to Connected Systems stays with the Customer. Clair's access to the Connected Systems ends, and Clair deletes the credentials.

16. Ownership

16.1 The Customer owns Customer Data, Customer Content and Outputs. Clair assigns to the Customer any rights Clair may have in the Outputs.

16.2 Clair owns Clair Materials. During the term, the Customer and its Users may use the Service for the Customer's business under a non-exclusive, non-transferable right.

16.3 The Customer's Programs, in their plain-language form, are the Customer's confidential information, and the Customer may use them during and after the term with another provider or in-house. This gives the Customer no rights in Clair Materials.

16.4 Clair may use the general skills and experience it gains from providing the Service, and feedback from the Customer, for any purpose, but never Customer Data, Customer Content or the Customer's confidential information, and never in a way that identifies the Customer.

17. Confidentiality

17.1 Each Party keeps the other Party's confidential information confidential and uses it only for the Agreement. Confidential information includes Customer Data, Outputs, Programs, results, the prices and other terms agreed for the Customer, and non-public information about each Party's business.

17.2 Clair treats the fact that a company or person is a customer of the Customer, and which products it uses, as confidential.

17.3 This section does not apply to information that is or becomes public without a breach of the Agreement, that the receiving Party already held lawfully, or that it developed independently. A Party may disclose information when the law or a decision of a court or authority requires it, and informs the other Party first where the law allows. Clair discloses Customer Data only when EU or Swedish law, or a binding decision of an EU or Swedish court or authority, requires it, refers other requests to the Customer, and discloses no more than is required.

17.4 Each Party makes sure that its staff, consultants and subcontractors who access confidential information are bound by written confidentiality obligations. This section applies for five years after the Agreement ends, and to Customer Data without time limit.

18. Warranties and AI outputs

18.1 Clair warrants that the Service performs materially as described in these Terms and as agreed with the Customer, that Clair provides it with reasonable skill and care and in compliance with the laws that apply to Clair as its provider, and that Clair has the rights it needs, including in the voices it uses, to provide it.

18.2 If the Service does not meet clause 18.1, Clair corrects it without undue delay at no additional cost. If Clair cannot correct a material failure within 30 days, the Customer may terminate the affected Program or the Agreement, and Clair refunds the prepaid fees for the period after termination.

18.3 The AI assistant generates its answers during each Conversation, and Outputs are generated by AI. Despite the measures in sections 5 and 6, they may contain errors. Clair does not warrant that every statement or Output will be correct or complete, or that a particular result will be achieved. The Customer reviews Outputs before relying on them for decisions about an End Customer.

18.4 The Customer warrants that it has the rights, legal bases and consents described in clauses 7.2 and 9.1.

18.5 Apart from what the Agreement states, neither Party gives any other warranties, to the extent the law allows.

19. Indemnities

19.1 Clair defends the Customer against third-party claims that the Service, used under the Agreement, infringes their intellectual property rights, and pays the damages finally awarded and the settlements Clair agrees to. This does not cover claims caused by Customer Content, by changes not made by Clair, or by combination with systems Clair did not provide. If such a claim arises or is likely, Clair may change the Service so that it no longer infringes, obtain the right for the Customer to keep using it, or, if neither is reasonably possible, end the affected part and refund the prepaid fees for it.

19.2 The Customer defends Clair against third-party claims that Customer Content infringes their rights or is unlawful, or that the Customer lacked a legal basis or consent described in clause 7.2, and pays the damages finally awarded and the settlements the Customer agrees to.

19.3 The Party making a claim under this section notifies the other Party promptly, lets it control the defense and settlement, and gives reasonable help at the other Party's cost. A settlement that requires an admission or a payment by the Party making the claim needs its consent.

20. Liability

20.1 Neither Party is liable for indirect or consequential loss, such as loss of profit, revenue or goodwill. The following count as direct loss: reasonable costs of notifying authorities and data subjects of a personal data breach, reasonable costs of restoring Customer Data, and reasonable costs of contacting Contacts to correct a statement the AI assistant made outside the Program.

20.2 Each Party's total liability under the Agreement in a contract year, or for a pilot as a whole, is limited to the higher of the fees paid and payable under the Agreement in the 12 months before the event that caused the loss and SEK 250,000.

20.3 For breaches of section 17 or of the DPA, and for indemnities under section 19, a separate limit applies: the higher of two times the fees paid and payable in the 12 months before the event and SEK 1,000,000, per contract year or for a pilot as a whole.

20.4 The limits do not apply to gross negligence or willful misconduct, to the Customer's payment obligations, or to liability that cannot be limited by law. They do not limit the rights of data subjects under Article 82 of the GDPR.

20.5 Each Party bears any administrative fine that an authority imposes on it.

20.6 A Party is not liable for loss to the extent it is caused by the other Party. Clair is not liable for loss to the extent it is caused by Customer Content, by the Customer's choices in a Program or by a Connected System.

20.7 A claim must be made in writing within 12 months after the Party became aware, or should have become aware, of the circumstances it is based on.

21. Changes to these Terms

21.1 Clair may update these Terms. Clair publishes the new version at beclair.io/terms-of-service and notifies Customers by email at least 30 days before it takes effect.

21.2 A change that materially reduces the Customer's rights applies to an ongoing term only from its next renewal, unless the law requires it earlier. If the Customer does not accept such a change, it may end the Agreement at the end of the current term by written notice before the change takes effect, even after the deadline in clause 13.3. Changes to the DPA need the Customer's agreement, except changes of Sub-processor, which follow DPA clause 6.2.

21.3 What the Parties have agreed in writing for the Customer can be changed only in writing by both Parties.

22. General

22.1 Assignment. Neither Party may assign the Agreement without the other Party's written consent, except to a company that takes over substantially all of the business to which the Agreement relates, with at least 30 days' written notice. That company takes over all obligations under the Agreement and the DPA. If a competitor of the Customer takes over Clair's business, the Customer may terminate the Agreement within 60 days of being told, and Clair refunds the prepaid fees for the period after termination.

22.2 Subcontractors. Clair is responsible for its subcontractors as for itself. Sub-processors follow the DPA.

22.3 Force majeure. Neither Party is liable for a delay or failure caused by circumstances beyond its reasonable control that it could not reasonably have avoided or overcome. A failure by a subcontractor counts only if the subcontractor is itself affected by such circumstances. If such circumstances last more than 60 days, either Party may terminate the Agreement by written notice, and Clair refunds the prepaid fees for the period after termination.

22.4 Publicity. Clair names the Customer as a customer, or uses its logo, only with the Customer's prior written approval, which the Customer may withdraw at any time.
